1. Agreement to Terms

These Terms of Service (the "Terms") constitute a legal agreement between you and Her Campus Media LLC, a limited liability company located at 9 Lansdowne Street, Suite 2, Boston, Massachusetts 02215, United States ("Her Campus Media," "we," "us," or "our"). By accessing or using the website at www.hercampu.shop (the "Site"), you agree to be bound by these Terms. If you do not agree, do not use the Site.

Consulting engagements are additionally governed by a separate written engagement letter or services agreement. Where that agreement conflicts with these Terms, the engagement agreement controls for the scope of that engagement.

2. The Site and the Services

The Site provides information about Her Campus Media LLC and the management consulting services we offer, including practice descriptions, firm information, contact channels and published perspectives. The Site is provided for general informational purposes.

Nothing on the Site constitutes professional advice. Content on the Site — including practice descriptions and published field notes — is general information, not consulting, legal, financial, tax or other professional advice, and does not create a consultant-client relationship. You should not act on Site content without engaging qualified advice for your specific situation.

3. No Engagement by Use Alone

Using the Site, submitting a contact form, or sending us an email does not create a client relationship, an engagement, or any obligation on our part to provide services. An engagement begins only when both parties have signed a written engagement letter. We reserve the right to decline any inquiry at our discretion, including where a conflict of interest exists or the work falls outside our practice.

4. Acceptable Use

You agree to use the Site only for lawful purposes. You must not:

• Use the Site in any way that violates applicable local, state, national or international law;
• Attempt to gain unauthorized access to the Site, its hosting environment, or any related systems or networks;
• Probe, scan or test the vulnerability of the Site, or breach security or authentication measures;
• Introduce malware, viruses or other harmful code, or launch denial-of-service attacks;
• Scrape, harvest or collect information from the Site by automated means without our written consent;
• Misrepresent your identity or affiliation, or submit false or misleading information through the Site;
• Use the Site to transmit unsolicited commercial communications.

We may suspend or block access to the Site for conduct that violates these Terms or that we reasonably believe threatens the Site or other users.

5. Intellectual Property

The Site and its entire contents — including text, design, layout, graphics, logos, and the selection and arrangement of materials — are owned by Her Campus Media LLC or its licensors and are protected by copyright, trademark and other intellectual property laws. "Her Campus Media" and the HCM mark are identifiers of Her Campus Media LLC.

You may view, download and print pages from the Site for your own informational, non-commercial use, provided you do not remove copyright or proprietary notices. Any other reproduction, distribution, modification or republication of Site content without our prior written consent is prohibited.

6. Confidentiality of Communications

Information you send us through the Site or by email before an engagement exists is handled in accordance with our Privacy Policy, but is not protected by consultant-client confidentiality until an engagement letter is signed. Please avoid sending highly sensitive or regulated information through initial contact channels. Confidentiality terms for engagements are set out in each engagement agreement.

7. Third-Party Links and Services

The Site may contain links to third-party websites or rely on third-party services (including hosting by Google Firebase). We do not control and are not responsible for the content, availability or practices of third-party sites and services. Links are provided for convenience and do not imply endorsement.

8. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, error-free or secure, that defects will be corrected, or that Site content is complete, current or accurate at any given time.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HER CAMPUS MEDIA LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR CLAIMS ARISING FROM OR RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

10. Indemnification

You agree to indemnify, defend and hold harmless Her Campus Media LLC and its members, managers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Site.

11. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts, and you consent to the personal jurisdiction of those courts.

Before filing a claim, the parties will attempt in good faith to resolve disputes informally. You agree to contact us first at office.sunli@hercampu.shop and allow at least thirty (30) days for resolution discussions.

12. General Provisions

• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization or sale of the business.
• Entire agreement. These Terms, together with the Privacy Policy and any signed engagement letter, are the entire agreement between you and us regarding the Site.

13. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date above reflects the current version. Material changes will be posted on this page, and continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
